The members of the Board of Directors of PRIDE Enterprises are appointed by the Governor and confirmed by the Senate, as per the By-Laws of the corporation. New members are appointed by the Governor from nominations submitted by the Board and from applications received by the Governor’s Appointment Office from individuals interested in serving on the Board. Board nominees submitted by the Board of Directors are selected based upon specified diversification criteria, such as geographic location, cultural diversity, and professional skills. However, pursuant to the By-Laws, the Secretary of the Department of Corrections automatically serves on the Board.
PRIDE Board members submit conflict of interest statements, sign personal statements of compliance to PRIDE’s Code of Business Conduct and Ethics, and are paid an honorarium for their service.
The Board of Directors is actively involved in the strategic direction and oversight of the Corporation’s many operations through its interaction with PRIDE’s President and executive staff. In general terms, the Board monitors compliance with Florida Statute 946, accepts fiduciary responsibility for the corporation, reviews large financial transactions and/or significant contractual obligations, and provides oversight of employee benefits and compensation. PRIDE’s Board is comprised of several committees; each has a specific operational oversight responsibility.
